These Terms of Use (“Terms”) govern your access to and use of www.vibraniumlabs.ai and any website, platforms, or mobile applications that link to these Terms (collectively “Site”).

Vibranium Labs, Inc., a Delaware corporation (together with any affiliates, “we”, “us”, “our” and “Vibranium Labs”) may at any time update these Terms or any additional terms related to this Site to reflect changes to the law, this Site, or our business. If you do not agree to these Terms or any updated Terms, you must stop using this Site.

The term “you” (“your”, “yours”) refers to the individual or entity visiting this Site and/or utilizing the transcription services and AI chatbot tools provided by Vibranium Labs on this Site. If you are accessing or using this Site on behalf of a business, that business accepts these Terms, and the term “you” also refers to that business.

Use of this Site is prohibited in any jurisdiction that does not give effect to all provisions of these Terms.

THESE TERMS INCLUDE A DISPUTE RESOLUTION AND ARBITRATION PROVISION, ALONG WITH A CLASS ACTION WAIVER THAT AFFECTS YOUR RIGHTS REGARDING DISPUTES WITH US AND RELATED PARTIES. 

1. USE OF THIS SITE

By using this Site, you represent and warrant that (a) all information you provide is accurate and complete, (b) if you have a Vibranium Labs account (“Registered User”), you will safeguard your account information and are responsible for all account activity, (c) you are at least 18 years old, and (d) you will comply with these Terms and applicable law. We reserve the right to deny access to anyone for any reason, including violations of these Terms.

2. TRANSCRIPTION SERVICES AND AI INTERACTIONS

Vibranium Labs may provide transcription services and AI chatbot interactions as part of its Site offerings. By using these services, you acknowledge and agree that:

1. Transcription services may process audio, video, or text inputs (“Data”) that you upload or provide.

2. AI chatbots generate text responses (“Output”) based on your text inputs or prompts (“Input”).

3. Vibranium Labs does not guarantee the accuracy, reliability, or completeness of any transcription or Output and is not responsible for errors, omissions, misinterpretations, or reliance on the results provided.

4. You are solely and fully responsible for ensuring that your use of the transcription services and chatbots complies with all applicable laws, regulations, and industry standards, including but not limited to data protection and privacy requirements. Vibranium Labs disclaims all responsibility for your failure to comply with such laws. 

You agree not to:

1. Upload or provide Data containing sensitive personal information (e.g., social security numbers, financial information, health records, biometric data, or other regulated information) without ensuring compliance with applicable privacy laws and obtaining all necessary consents.

2. Vibranium Labs shall not be liable for any breaches of data protection laws resulting from your failure to comply.

3. Use the transcription services or chatbots to engage in harmful, illegal, fraudulent, or prohibited activities, including generating content that promotes hate, harassment, or violence.

4. Use the services to upload or process any content that infringes on third-party intellectual property rights or contains malicious code, viruses, or other harmful components.

5. Attempt to reverse-engineer, decompile, disassemble, or otherwise tamper with any transcription or chatbot tools provided by Vibranium Labs.

6. Bypass or attempt to bypass any security measures or access restrictions applied to the services.

7. Use automated means, such as bots or scrapers, to interact with the transcription or chatbot services in a manner not expressly permitted by Vibranium Labs.

Vibranium Labs reserves the right to monitor usage, suspend or terminate access, and take any necessary legal action in the event of misuse or suspected violations, at its sole discretion. You agree to indemnify Vibranium Labs for any claims, damages, or liabilities arising from your misuse of the services, including any claims by third parties arising from your use.

3. INTELLECTUAL PROPERTY

1. All content, technology, and tools provided by Vibranium Labs, including transcription services, AI chatbot tools, and their outputs, including all copyrights, trademarks, patents, trade secrets, and other intellectual property rights (“IP”) are the exclusive property of Vibranium Labs and its licensors. 

2. By using the transcription services and AI chatbots on this Site, you agree that any Data, Input, Output or other IP processed through Vibranium Labs’ technology, tools, and services, including any derivative works, improvements, or modifications, shall be the sole and exclusive property of Vibranium Labs. Vibranium Labs may use any Data, Input, Output or other IP to provide, maintain, train and improve the transcription services, AI chatbots, and our other products and services. Vibranium Labs retains the rights to utilize any Data, Input, Output or other IP indefinitely, subject to compliance with applicable laws.

3. You hereby assign and transfer to Vibranium Labs any and all rights, title, and interest in and to such Data, Input, Output and IP. To the extent such assignment is not legally enforceable, you grant Vibranium Labs a worldwide, irrevocable, perpetual, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, display, and create derivative works from the Data, Input, Output and IP.

4. You represent and warrant that you have all necessary rights and permissions to upload or provide Data, Input and IP and that such Data, Input and IP does not infringe on the rights of any third party. You further agree to indemnify Vibranium Labs for any claims, damages, or liabilities arising from a breach of this warranty.

5. Nothing in these Terms grants you any rights to use Vibranium Labs’ trademarks, logos, or other proprietary marks without prior written permission.

4. LIABILITY DISCLAIMER

ALL INFORMATION, SERVICES, AND OUTPUTS PROVIDED BY VIBRANIUM LABS ARE OFFERED “AS IS” AND “AS AVAILABLE.” VIBRANIUM LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, VIBRANIUM LABS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE, TRANSCRIPTION SERVICES, OR CHATBOT TOOLS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIBRANIUM LABS SHALL NOT BE LIABLE FOR ANY AUTHORIZED ACCESS TO, OR USE OF, USER ACCOUNTS, PERSONAL DATA, OR SENSITIVE INFORMATION CAUSED BY USER NEGLIGENCE, THIRD-PARTY ACTIONS, OR CIRCUMSTANCES BEYOND VIBRANIUM LABS’ REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO HACKING, CYBERATTACKS, OR SECURITY BREACHES. VIBRANIUM LABS SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM DATA LOSS, OPERATIONAL DOWNTIME, OR INTERRUPTIONS IN SERVICE, INCLUDING DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR INTEGRATIONS.

5. INDEMNIFICATION

You agree to indemnify and hold Vibranium Labs harmless from any claims, liabilities, damages, or expenses arising out of your use of this Site, transcription services, chatbot tools, or any breach of these Terms.

6. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of New York, USA. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the services provided by Vibranium Labs shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and Mediation Procedures. No claims may proceed in any court unless expressly required by applicable law. Arbitration will take place in New York County, New York, USA, and the decision of the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction.

To the maximum extent permitted by law:

1. The arbitrator shall have exclusive authority to resolve any disputes relating to the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or any part of these Terms is void or voidable.

2. Each party shall bear its own arbitration costs, except where applicable law requires Vibranium Labs to cover certain costs. 

3. No class actions or representative claims are permitted in arbitration. You and Vibranium Labs agree to resolve disputes on an individual basis. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.

7. MODIFICATIONS TO THESE TERMS

Vibranium Labs reserves the right to update or modify these Terms at any time without notice. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

8. TERMINATION

Vibranium Labs reserves the right to terminate your access to the Site or services at any time, for any reason, including but not limited to violations of these Terms. Upon termination, you must cease all use of the Site and delete any content obtained from the Site.

9. FORCE MAJEURE

Vibranium Labs shall not be held liable for any delay or failure in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, cyberattacks, labor disputes, and interruptions in internet or utility services.

10. ENTIRE AGREEMENT

These Terms, along with any policies or guidelines incorporated by reference, constitute the entire agreement between you and Vibranium Labs regarding your use of this Site. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
